Universal Health Services acquiring telehealth specialist Talkspace
US-listed Universal Health Services has entered into a definitive agreement to acquire the virtual behavioural health provider Talkspace.
The transaction places an enterprise value of approximately $835m on the target company.
For operators and investors monitoring the behavioural health landscape, this acquisition by the acute care hospitals, behavioural health facilities, and outpatient centre specialist represents a significant strategic pivot towards digital care delivery. The integration of Talkspace will accelerate the outpatient and telehealth strategies of Universal Health Services while actively diversifying its payor mix. By incorporating Talkspace into its broader portfolio, the buyer aims to deliver a comprehensive, technology-enabled continuum of care that supports innovative approaches to mental health services.
Talkspace brings substantial operational scale to the transaction. In 2025, the digital health platform generated $229m in revenue and facilitated more than 1.6 million therapy and psychiatry sessions. From a financial perspective, the deal is projected to modestly boost adjusted earnings per share for Universal Health Services within the first year following completion.
The transaction is expected to close in the third quarter of 2026. Finalisation remains subject to standard closing conditions, including necessary shareholder and regulatory approvals.
