TPG acquires UnitedHealth’s Optum UK business

27 April 2026

Leading global alternative asset management firm TPG has acquired UnitedHealth Group’s Optum UK business, which includes the major electronic patient record system provider EMIS in a landmark deal for the UK healthcare technology sector.

The transaction marks the exit of a major US insurer from the UK primary care software market and paves the way for heightened private equity involvement in critical health IT infrastructure. EMIS Group, a leading provider of electronic patient record systems, serves a majority of general practices across England and holds a central role in the digital functioning of the National Health Service.

The acquisition was executed through TPG’s global health investments platform, underscoring continued confidence in scalable, data driven health technology assets in Europe.

While financial terms remain confidential, this has been widely reported to be a £1bn+ deal and industry analysts note that this reflects strong valuation multiples, driven by EMIS’s entrenched market position, recurring revenue streams, and potential for integration with broader digital health ecosystems. The divestment by UnitedHealth Group – the largest healthcare company in the United States and the world by revenue  – follows increasing regulatory scrutiny of US ownership of NHS data infrastructure and aligns with Optum’s strategic refocusing on core US markets.

Healthcare operators and investors will note the shift in ownership raises important questions about future investment priorities and data governance. TPG has signalled intentions to expand EMIS’s capabilities in analytics, patient engagement, and interoperability, potentially accelerating modernisation efforts within primary care. Industry stakeholders are monitoring whether the new ownership will pursue aggressive commercial strategies or maintain the current public sector service model.

The transaction also highlights the growing appetite among private equity firms for assets that underpin national health systems, particularly those with high barriers to entry and long term contracts. With TPG now in control, market observers expect a period of operational stability followed by targeted enhancements aimed at improving efficiency and expanding service offerings.
