In a move that significantly reshapes the global pharmaceutical landscape, American pharmaceutical company Organon is being acquired by listed Indian drugmaker Sun Pharmaceutical Industries.

A definitive agreement has been signed in an all cash transaction valuing the target at an enterprise valuation of $11.75bn.

The integration of Organon, which was spun out of Merck in 2021, immediately establishes Sun Pharma as a top three global player in women’s health and the seventh largest biosimilar company worldwide. It also signals a major strategic pivot for Sun Pharma beyond its traditional generic drug base.

The combined entity will boast a commercial presence across 150 countries and could generate annual revenues of approximately $12.4bn, elevating Sun Pharma into the ranks of the top 25 pharmaceutical companies globally. Sun Pharma management anticipates unlocking over $350m in cost and revenue synergies within two to four years by cross pollinating portfolios to realise additional value and optimising lean operations.

The transaction remains subject to customary regulatory approvals and a final vote by Organon stockholders, with final completion expected in early 2027.
