Spire takeover extended as £1.3bn property deal completes
Spire Healthcare has been the focus of two major transactions, with Toscafund’s potential £1.01bn takeover bid extended to August 6, while Blue Owl Capital has completed a £1.3bn acquisition of 12 Spire hospital properties.
Toscafund Asset Management is the company’s second largest shareholder. It submitted a non-binding proposal in May 2026 to acquire the remaining 82 per cent of the business valuing the healthcare provider at roughly £1.01bn – a 66 per cent premium to its undisturbed share price.
This extension was granted to allow for the finalisation of financing arrangements and the completion of reciprocal due diligence. The board of Spire Healthcare has indicated that it remains minded to recommend a firm offer at this price level unanimously.
Meanwhile, there has been significant M&A activity. On July 8, Blue Owl Capital announced the successful completion of its acquisition of a 12-hospital portfolio operated by Spire Healthcare for approximately £1.3 billion.
This transaction, executed in partnership with Moor Park Capital Partners, involved the purchase of the freehold properties from Malaysia’s Employees Provident Fund. For Blue Owl Capital, the deal represents a definitive entry into the UK healthcare market and a significant acceleration of its European net lease strategy. While the ownership of the physical assets has changed, Spire Healthcare continues to operate the facilities under well-structured, long-term, inflation-linked leases.
