Spire Healthcare extends takeover deadline with PE suitors

The UK Panel on Takeovers and Mergers has granted an extension to the “put-up-or-shut-up” deadline for ongoing discussions between Spire Healthcare, Bridgepoint Advisers and Triton Investment Advisers.

According to an announcement from independent UK private healthcare provider Spire on February 18, the deadline has been moved to March 21, 2026, providing the suitors additional time to finalise their due diligence and declare a firm intention to make an offer. This extension prolongs the strategic uncertainty surrounding the group.

The original deadline for the suitors to announce a firm intention to make an offer was set for 5pm on February 21, 2026.

For investors and operators, this extension signals that the board believes there is still a path to a deal that reflects the company’s intrinsic value. Reports suggest major shareholders, including Mediclinic and Tosca, may be looking to exit their positions.

If a deal is not reached by the new March deadline, Spire may pursue alternative strategic options, such as opportunistic sale and leaseback transactions of its hospital assets, to unlock shareholder value independently. Currently, the company remains in an official offer period, and there is no certainty that these extended talks will result in a firm proposal.
