Narayana Health moves into UK market with PPG acquisition
India-based healthcare provider Narayana Health’s £183 million acquisition of UK-based Practice Plus Group (PPG) Hospitals Limited marks a transformative entry into Europe’s largest healthcare market, securing the fifth largest private hospital network in the UK with 70+ facilities across secondary care, urgent care, and prison health services.
The deal, structured as a 100% acquisition of PPG Hospitals Limited (excluding non-core divisions), provides immediate access to multi-year NHS contracts serving 80,000 annual surgeries and generating £250 million revenue (FY25) with £20 million adjusted EBITDA.
Valued at 9.2x FY25 adjusted EBITDA, the transaction positions Narayana to leverage PPG’s asset-light, day-case model – already generating 70%+ of procedures as outpatient services – to accelerate cash conversion and margin improvement.
Strategically, the acquisition unlocks three critical growth vectors : First, operational synergies through integration of Narayana’s Athma digital platform to enhance patient retention and clinical workflows, targeting 20%+ efficiency gains in scheduling and diagnostics. Second, revenue diversification into the UK’s £150 billion NHS ecosystem , where private-pay penetration is rising amid government outsourcing initiatives. Third, clinical capability transfer , enabling Narayana to introduce cost-efficient Indian care models while adopting UK best practices in orthopedics and ophthalmology.
For investors, the deal delivers immediate scale – elevating Narayana to India’s top 3 healthcare providers by revenue with PPG’s evergreen NHS contracts providing revenue visibility through 2028 . Operators should note the low-risk integration path: PPG’s employed physician model aligns with Narayana’s culture, while its Birmingham facility losses (£6.1M FY25) are isolated and excluded from core EBITDA metrics.
This arguably establishes India’s first globally competitive hospital chain. Chairman and founder of Narayana Health Dr. Devi Shetty says the deal is a “perfect fit” to export affordable excellence while importing advanced care standards, setting a new benchmark for emerging-market healthcare globalisation.
