Health Italia moves towards delisting
Health Italia, a prominent player in the Italian integrative healthcare and corporate welfare market, is moving toward a delisting from the Euronext Growth Milan.
This transition follows the successful completion of a majority stake acquisition by Lonvita, a vehicle controlled by a club deal organised by promoters Giovanni Giuliani and Stefano Pellegrino. The transaction, which closed on December 5, 2025, involved the transfer of approximately 68% of the company’s share capital for a value of nearly €60m
As a legal consequence of this change in control, Lonvita has launched a mandatory total takeover bid for the remaining ordinary shares, representing over 30% of the capital. The primary objective of the offer is to acquire the entire share capital and proceed with the delisting to facilitate a new industrial phase. Lonvita says the bid offer acceptance period is from February 9 To March 6.
For healthcare operators and investors, the move signals a strategic shift toward creating a national champion in the health and wellness sector. The new leadership intends to evolve Health Italia’s current offerings by integrating digital technologies and targeting the emerging longevity market. The project is supported by Clessidra Capital Credit, which provided financing through the Clessidra Private Debt Fund.
Following the delisting, the promoters plan to merge Health Italia into the acquiring entity. This restructuring aims to streamline operations and focus on core activities, such as integrative health solutions for retail and corporate clients and advanced telemedicine services.
