Blackstone and TPG acquiring Hologic in $18.3bn take-private deal

American Medtech company Hologic Inc. has agreed to be acquired by private equity giants Blackstone and TPG in a landmark $18.3 billion enterprise value deal, marking one of the largest healthcare take-private transactions of 2025.

The agreement to buy Hologic – which specialises in women’s health diagnostics, including breast and cervical cancer screening – will see it delisted from the Nasdaq stock market. It delivers immediate value to shareholders while positioning the women’s health innovator for accelerated growth under PE ownership.

The total consideration of up to $79 per share represents a 46% premium to Hologic’s closing price on May 23, 2025—the last trading day before media speculation about the deal emerged.

The transaction includes minority investments from the Abu Dhabi Investment Authority (ADIA) and Singapore’s GIC, underscoring institutional confidence in the long-term strategy.

Blackstone and TPG will retain Hologic’s Marlborough, Massachusetts headquarters and brand identity, ensuring operational continuity for operators reliant on its diagnostic and medical device ecosystem.

The PE firms emphasized Hologic’s leadership in women’s health innovation, with Blackstone noting its “longstanding reputation for ground-breaking medical device and diagnostic products” and TPG highlighting decades of thematic healthcare investment expertise.
