Ambea Launches €271m bid for Humana
Leading listed Nordic care provider Ambea AB has announced a recommended public takeover offer for Humana AB, in a deal valuing the Swedish care provider at approximately 3bn SEK (€271m).
The transaction marks a significant consolidation in the Nordic healthcare sector, aiming to create a regional champion in elderly and disabled care.
The deal would establish a market leader with a workforce of 63,000 professionals. Ambea management will leverage this increased scale to accelerate investments in digital tools and welfare technology while deepening relationships with municipal commissioning bodies.
A critical component of the post-merger strategy is the planned divestment of Humana’s Swedish personal assistance business. This move is designed to streamline the portfolio toward residential care where Ambea holds its primary expertise. To ensure this exit, Ambea has secured a put option with Impilo Care AB, which is obligated to acquire the unit if a third-party buyer is not found within twelve months.
The deal has secured strong institutional backing, with shareholders representing 41.9% of Humana’s capital already irrevocably committed to the offer. Humana’s board of directors has unanimously recommended the bid, citing the strategic advantages of the combination.
The transaction remains subject to a 90% acceptance threshold and customary regulatory approvals, with the acceptance period expected to close by the end of September 2026.
