Swiss healthcare giant Roche has entered into a definitive merger agreement to acquire the digital pathology specialist PathAI in a transaction valued at up to $1.05 billion.

The deal involves a $750 million upfront cash payment and up to $300 million in performance and regulatory milestones. Expected to close in the second half of 2026, the acquisition will fold the technology firm into the Roche Diagnostics division.

For investors and operators watching the commercialisation of artificial intelligence in healthcare, the transaction highlights how digital pathology is transitioning from a niche research tool into core laboratory infrastructure. Roche is explicitly acquiring workflow control rather than just standalone algorithms.
