Competition authority green lights €12bn Aedifica and Cofinimmo merger
The merger between Belgian listed real estate company Aedifica and rival Cofinimmo reached a definitive milestone on January 21, marking the likely creation of Europe’s largest listed healthcare REIT with a combined portfolio exceeding €12.1bn.
Following a period of delay that pushed the timeline back by approximately three months, the Belgian Competition Authority has officially cleared the path for the transaction – the final major hurdle after Aedifica previously secured clearances from authorities in Germany, the Netherlands, and France.
The approval is contingent upon a specific remedy: Aedifica must divest €300 million of Belgian healthcare assets over several years.
With over 99% of Aedifica shareholders already supporting the capital increase and the Cofinimmo Board providing a unanimous positive recommendation, market experts view the successful reaching of the 50% +1 acceptance threshold as highly likely.
Thereafter the focus will shift toward the integration of Cofinimmo’s substantial office portfolio and the scaling of a platform that now spans eight European countries .
