HBM Sells Swixx Biopharma to SK Capital for €1.5bn

Swiss-listed HBM Healthcare Investments has agreed to sell a majority stake in Swixx Biopharma, a specialised distributor of rare diseases, prescription and over the counter medicinal products to US-based SK Capital Partners.

This marks a strategic milestone for both parties as the pharma commercialisation platform accelerates global expansion.

The transaction, valued at over €1.5bn, will see HBM, Swixx’s founders, and co-investors like Mérieux Equity Partners retain significant minority ownership while SK Capital assumes majority control.

HBM’s investment has generated CHF 300m (€322m) in added value – over ten times the original outlay – amid Swixx’s impressive revenue growth from EUR 40 million (2017) to an expected EUR 1.3 billion (2026). The platform, operating in 45 countries across Central/Eastern Europe, Eurasia, the Middle East, and Latin America, has become a leader in commercialising rare disease, oncology-haematology, and specialty therapies for global biopharma clients.

Notably, HBM will retain its 25.1% stake in Swixx Healthcare , a spin-off entity focused on complementary services, while Swixx’s co-founders and executive team – including CEO Jean-Michel Lespinasse – will maintain leadership roles and equity stakes.

The partnership aims to expand Swixx’s footprint in underserved regions while preserving its core strategy of serving as a “trusted multi-regional commercialisation partner” for biotech innovators.
