CMA green lights £6bn healthcare real estate merger

The UK Competition and Markets Authority has granted Phase 1 clearance of listed Primary Health Properties’ (PHP) acquisition of Assura, marking a pivotal milestone for the £6bn healthcare real estate merger.

The decision removes the final regulatory hurdle, with the regulator confirming that the transaction “gives rise to no competition concerns”. The CMA’s requirement to maintain operational separation between the firms is now expected to conclude imminently. While the PHP Offer was never conditional on CMA approval, this greenlight eliminates execution uncertainty that had delayed PHP’s planned asset disposals and integration roadmap.

PHP will shift focus to capturing £9 million in annual run-rate cost synergies through portfolio optimisation and operational streamlining. The combined entity is expected to leverage its enhanced scale to secure lower-cost debt financing while maintaining investment-grade status, positioning itself to capitalise on NHS-driven demand for modern primary care facilities.

PHP CEO Mark Davies emphasised the merger creates a platform to “help the NHS deliver its 10-year plan by shifting more patients into primary care,” signalling strategic alignment with government healthcare priorities. Integration risks persist as PHP executes its plan to divest Assura’s private hospital portfolio, which is key to reducing the combined group’s loan-to-value ratio.
